These Gift Card Terms and Conditions ("Gift Card Terms") govern the purchase, issuance, and redemption of gift cards issued by Eterna Technologies Corporation, on behalf of itself and NoHo Medical Services, P.C. and other affiliated professional medical corporations (“NOHO”). These Gift Card Terms are part of and subject to the NOHO Terms of Use and Privacy Policy, as well as the Notice of Patient Privacy Practices and other terms of service for patients, including the Membership Agreement. Capitalized terms not defined here have the meanings given to them in the Terms of Use.
By purchasing, accepting, or using a Gift Card, Purchaser and Recipient (as defined below) as applicable agree to these Gift Card Terms and the Terms of Use, including the Agreement to Arbitrate and Class Action Waiver in Section 15. Terms and conditions are subject to change.
"Gift Card" means any prepaid electronic code or device issued by NOHO in a specified dollar amount, redeemable solely for Eligible Services offered through this website or NOHO member platform.
"Eligible Services" means membership fees and the products and prescription ordering benefits available to members through the Site at the time of redemption.
“Practice” means NoHo Medical Services, P.C. and its affiliated professional medical corporations.
"Purchaser" means the individual who purchases a Gift Card.
"Recipient" means the individual designated by the Purchaser to receive and redeem the Gift Card. A Gift Card may only be redeemed by the designated Recipient and may not be transferred to any other person.
“Site” means this website, the NOHO member platform, and the NOHO patient portal.
Gift Cards are available for purchase on the Site in denominations selected at the time of purchase. Upon completion of payment, the Gift Card will be delivered electronically to the email address designated by the Purchaser. Each Gift Card will include: the Gift Card value, a unique redemption code, and a statement that funds do not expire and no fees apply.
Gift Cards may not be purchased using another Gift Card.
The Purchaser is responsible for providing the correct name and email address of the intended Recipient. If a Purchaser enters incorrect Recipient information, the Gift Card may be delivered to an unintended individual, and NOHO is not responsible for any such misdirected delivery. The Purchaser should verify Recipient information before completing a purchase.
By providing any personal information of a Recipient, the Purchaser represents and warrants that the Purchaser is authorized to provide such information to NOHO and that NOHO may collect, store, and use that information in accordance with its Privacy Policy.
The funds on a Gift Card do not expire. No dormancy, inactivity, service, or other post-sale fees will be charged against a Gift Card balance.
Gift Cards are redeemable solely for Eligible Services on the Site. To redeem a Gift Card, the Recipient must create or maintain an active NOHO account and enter the redemption code. If the cost of an Eligible Service exceeds the remaining balance, the Recipient must pay the difference using another accepted payment method. Any remaining balance after a transaction will be retained on the Recipient's account for future use.
Redemption is subject to the Terms of Use, including account eligibility, provider availability, and state licensing requirements. Certain Eligible Services may not be available in all states due to licensing or regulatory requirements. Before purchasing a Gift Card, the Purchaser should confirm that the intended Recipient resides in a state where Eligible Services are available. For a current list of available states, contact support@noholabs.com. A Gift Card does not guarantee the availability of any particular provider, service, or appointment. Gift Cards are not reloadable, and have no resale value.
To redeem a Gift Card, the Recipient must (a) be at least eighteen (18) years of age, (b) reside in a state where NOHO' Eligible Services are available, and (c) satisfy all eligibility requirements in the Terms of Use and the Membership Agreement. By redeeming a Gift Card, the Recipient represents and warrants that the Recipient meets all applicable eligibility requirements and that all information provided to NOHO is true, accurate, and complete. NOHO may require verification of a Recipient's age, identity, or state of residence and may refuse, suspend, or cancel a Gift Card if such verification cannot be completed or if the Recipient is or becomes ineligible.
If a Recipient uses a Gift Card to purchase a membership, the membership may automatically renew at the end of the applicable subscription period at the then-current regular price, subject to the auto-renewal terms and cancellation rights in the Membership Agreement and as required by applicable law. The Recipient is solely responsible for canceling before renewal if the Recipient does not wish to continue.
Gift Cards are not redeemable for cash except as required by applicable law (see Section 7). Gift Cards may not be:
NOHO reserves the right to void any Gift Card reasonably believed was obtained fraudulently or in violation of these Gift Card Terms. NOHO further reserves the right to refuse, suspend, or revoke any Gift Card if: (a) payment is refused, reversed, or charged back; (b) NOHO reasonably suspects fraud, abuse, or misuse; (c) the Recipient is or becomes ineligible to use Eligible Services; or (d) these Gift Card Terms, the Terms of Use, or applicable law is violated.
Gift Cards are not redeemable for cash except where required by applicable law. Residents of certain states may be entitled to redeem a remaining Gift Card balance for cash when the balance falls below a threshold specified by state law. To submit a cash redemption request, contact us at support@noholabs.com with the Gift Card code, name, mailing address, and state of residence. Cash redemptions will be processed within thirty (30) days of a complete request.
Gift Cards function like cash. NOHO is not responsible for lost, stolen, or unauthorized use of a Gift Card except as required by applicable law. If a Recipient believes a Gift Card has been lost or stolen, contact NOHO promptly at support@noholabs.com. NOHO may, in its discretion, freeze the balance and reissue a replacement if the Recipient can verify the original purchase.
Privacy between Purchaser and Recipient. NOHO may notify the Purchaser that a Gift Card has been delivered, redeemed, or has not been redeemed. NOHO will not disclose to the Purchaser any health information, consultation details, prescriptions, or other health-related activities of the Recipient. The Recipient's health information is governed solely by the Notice of Patient Privacy Practices and the Privacy Policy. No Purchaser has any right to access, receive, or request a Recipient's health information by virtue of having purchased a Gift Card.
Gift Card purchases are non-refundable except as required by applicable law. If NOHO discontinues the Site or ceases to offer Eligible Services, NOHO will provide Recipients with no less than sixty (60) days' notice and will make remaining Gift Card balances available through a cash redemption process or other method consistent with applicable law.
To the extent required by applicable state unclaimed property laws, NOHO will report and remit unused Gift Card balances in accordance with the requirements of the applicable jurisdiction.
To the fullest extent permitted by applicable law, NOHO' total liability arising out of or related to a Gift Card will not exceed the face value of the Gift Card at issue. The limitations of liability and disclaimers of warranties in the Terms of Use apply to these Gift Card Terms.
NOHO may amend these Gift Card Terms by posting updated terms on the Site. No amendment will impose an expiration date or fees on a previously issued Gift Card or reduce the cash-redemption rights of any Recipient, except as required by applicable law.
